Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and CalendTree LLC, an Alabama limited liability company ("CalendTree," "we," "us," or "our"), governing your access to and use of the CalendTree iOS app, the CalendTree web application at app.calendtree.com, calendtree.com, and any related services (collectively, the "Service").

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use CalendTree.

Two kinds of people use CalendTree.If you sign up for an account to run your business — scheduling, invoicing, contracts, payments, client records — you are an "Account Holder," and these Terms govern your use of the Service in full. If someone who runs their business on CalendTree (your Account Holder) sends you a booking page, invoice, quote, proposal, contract, or questionnaire, and you're interacting with it as their customer without your own CalendTree account, you're an "End Client" — Sections 1, 2, and 6 mostly don't apply to you; Section 16 spells out what does.

1. Eligibility

You must be at least 18 years old to create an Account Holder account. By creating an account, you represent that you are at least 18, that you have the legal capacity to enter into a binding contract, and that all registration information you provide is accurate and current.

CalendTree is built and marketed for self-employed professionals, freelancers, and small business owners. You may use the Service for personal or non-commercial purposes, but it is designed and optimized for running a business.

If you are creating an account on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Accounts

a. Registration and Sign-In

You may create an account with an email/password combination, or by signing in with Apple or Google. Regardless of method, your account is backed by an AWS Cognito identity and a corresponding CalendTree user record.

If you sign in with Apple and later sign in with Google using the same verified email (or vice versa), CalendTree may link both sign-in methods to the same account so you retain access to your data across providers. You are responsible for using sign-in methods and email addresses you actually control.

b. Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, including activity by anyone you authorize to use it (see 2(d), Workers). Notify us immediately at Legal@CalendTree.com if you suspect unauthorized access. CalendTree is not liable for loss or damage arising from unauthorized access caused by your failure to safeguard your credentials.

Some devices support signing in using Face ID, Touch ID, or device passcode. This is a convenience layer that unlocks a session already stored securely on your device — it does not transmit biometric data to CalendTree, and CalendTree never receives or stores your biometric information.

c. One Account Per User

Each account is for a single individual (or the business entity they represent under 2(d)). You may not share your login credentials with anyone who is not an authorized Worker on your account, or create an account on behalf of another person without their authorization.

d. Workers and Contractors

CalendTree lets you invite other individuals ("Workers") — for example, contractors or employees — to access some or all of your business data for purposes like workforce management and 1099 preparation. If you invite a Worker, you are responsible for the accuracy of any tax or work-eligibility information you enter about them, for your own compliance with applicable labor, tax, and employment law, and for obtaining any consent they may need to give you before you enter their personal information into the Service.

3. The Service

a. What CalendTree Provides

CalendTree provides tools to run a service-based business, including, as made available from time to time:

  • Booking pages, scheduling links, and appointment management
  • Client and organization records (CRM)
  • Invoices, quotes, proposals, and e-signature contracts
  • Payment collection, payment links, split payments, and in-person card payments via Apple Tap to Pay (where enabled)
  • Expense tracking, receipt scanning, and automatic mileage/drive tracking
  • Time tracking, tasks, and project/pipeline management
  • Business analytics and forecasting tools
  • An in-app AI assistant
  • Optional "Life" tools (personal/financial utilities, LLC formation guidance, and referral intake forms — see Section 15)
  • Integrations with Google Calendar, Zoom, and Square

Not every feature is available on every platform at the same time, and availability may vary by app version, region, and App Store storefront rules.

b. Beta and Experimental Features

Some features are labeled or otherwise identified as beta, early access, or experimental. These may be incomplete, may change or be removed without notice, and are provided "as is" without warranty beyond what's described in Section 11.

c. Service Availability

We aim for high availability but do not guarantee uninterrupted, error-free, or continuous access. We may perform maintenance or emergency changes that temporarily affect availability, and will try to give advance notice of planned downtime where practical.

d. Offline Use and Sync

Some features work offline and sync automatically once you're back online. We make reasonable efforts to sync data reliably, but you are responsible for maintaining your own backups of critical business records.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Violate any applicable local, state, national, or international law or regulation
  • Use the Service to send spam, unsolicited communications, or fraudulent invoices, quotes, proposals, or contracts
  • Impersonate any person or entity, or misrepresent your affiliation with one
  • Enter false, fraudulent, or knowingly misleading information into any document generated or shared through the Service
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its underlying systems
  • Scrape, crawl, or extract data from the Service by automated means without our prior written consent
  • Use the Service to facilitate money laundering, payment fraud, chargeback fraud, or other illegal financial activity
  • Reverse engineer, decompile, or disassemble any part of the Service, except to the extent applicable law expressly permits it
  • Resell, sublicense, or otherwise commercialize access to the Service without our written permission
  • Use the mileage/location tracking, Tap to Pay, or payment features for any purpose other than your own legitimate business recordkeeping and payment collection

We may investigate and take appropriate action, including suspending or terminating your account, if we determine in good faith that you have violated these Terms.

5. Your Content

a. Ownership

You retain full ownership of all data, content, and information you submit to CalendTree ("Your Content"), including client records, invoices, quotes, proposals, contracts, questionnaire configurations and responses, project data, receipts, mileage logs, and uploaded photos or files. These Terms do not grant CalendTree any ownership rights in Your Content.

b. License to CalendTree

You grant CalendTree a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, and display Your Content solely as necessary to operate and provide the Service to you (and, where you direct it, to your End Clients or Workers). We do not use Your Content to train third-party AI models, sell it, or use it for advertising.

c. Your Responsibility

You are solely responsible for Your Content and for the accuracy, legality, and appropriateness of the invoices, contracts, proposals, questionnaires, and communications you send to your End Clients using the Service. CalendTree is a tool — we do not review, verify, or endorse the content of what you create or send.

Documents CalendTree helps you generate are templates and formatting tools, not legal or financial advice. You are responsible for ensuring any contract, waiver, or disclosure you send to an End Client is enforceable and compliant with the laws that apply to your business.

d. Prohibited Content

You may not upload or transmit content that:

  • Is defamatory, obscene, or harassing
  • Infringes the intellectual property rights of others
  • Contains personal information about a third party that you were not authorized to collect or share
  • Violates any applicable law, including health-information and consumer-protection laws described in Section 15(b)

e. Your Own Backups

CalendTree takes reasonable steps to protect and back up data on our servers, but you are responsible for maintaining independent copies of business records you cannot afford to lose.

f. Communications to Your Clients

The Service lets you send emails and, where available, text messages to your End Clients — booking confirmations, invoices, reminders, and similar messages sent at your direction. For every such communication, you represent and warrant that you have obtained all consents required by applicable law, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and their state equivalents, from each recipient.

You are the sender of record for these communications — CalendTree transmits them on your behalf as your service provider. You agree to honor opt-out and unsubscribe requests promptly, and you agree to indemnify CalendTree (as described in Section 13) for any claim arising from communications sent through the Service at your direction. Standard message and data rates may apply to recipients, and CalendTree does not guarantee that any message will be delivered.

6. Payments and Subscriptions

a. Two Different Kinds of Payments

CalendTree involves two entirely separate kinds of money movement: (1) your subscription to CalendTree — what you pay us for access to the Service — and (2) payments your End Clients make to you, which flow directly to your own connected Square account. CalendTree never takes custody of client payments, is not a party to those transactions, and is not a payment processor or money transmitter.

b. Subscription Pricing and Billing

Current plans and pricing are published at calendtree.com/pricing, which may change over time. Depending on how you subscribe, billing runs through one of two channels: direct/web billing processed via Square, billed to your provided payment method on a recurring basis until you cancel; or Apple In-App Purchase, billed through your Apple ID under Apple's own billing terms, on a recurring basis until you cancel through your Apple ID settings.

By subscribing through either channel, you authorize recurring charges at the then-current price until you cancel. We will provide advance notice of price increases to existing subscribers where required by law.

c. Free Trials and Read-Only Access

We may offer a free trial period. If your trial or subscription lapses, we may place your account into a read-only mode where you can view existing data but cannot create or edit records, until you resubscribe.

d. Cancellation

You may cancel a direct/web subscription at any time in Settings; cancellation takes effect at the end of the current billing period. If you subscribed through Apple In-App Purchase, you must cancel through your Apple ID account settings — CalendTree cannot cancel an Apple subscription on your behalf.

e. Refunds

Subscription fees are non-refundable except as required by applicable law. If you were charged in error, contact Legal@CalendTree.com within 30 days of the charge. Purchases made through Apple In-App Purchase are subject to Apple's own refund policies — refund requests for those charges must go through Apple. If you initiate a chargeback of subscription fees we believe were charged correctly, we may suspend your account pending resolution.

f. Payments You Collect From Your Clients (Square)

If you connect your own Square account to CalendTree, payments you collect — through payment links, invoices, or Apple Tap to Pay — are processed by Square directly into your own Square merchant account, under Square's own seller agreement, and are subject to Square's fees, underwriting, and dispute/chargeback processes. CalendTree is not a party to those transactions and is not responsible for Square's decisions, availability, or conduct.

Where Apple Tap to Pay is enabled, card data is encrypted at the point of tap using Apple's Secure Element and Square's certified infrastructure. CalendTree never receives or stores raw card numbers; we store only the transaction amount, timestamp, and a tokenized reference. Tap to Pay is not available on all devices, app versions, or regions.

g. Split Payments and Refunds You Issue

Split (deposit + balance) payments and any refunds you issue to your clients are still processed through your own Square account under Square's terms. You are responsible for your own refund policy toward your clients.

You are solely responsible for determining, collecting, and remitting any taxes that apply to your sales, for responding to Square disputes and chargebacks initiated by your clients, and for setting and honoring your own refund policy. CalendTree does not calculate, collect, or remit taxes on your behalf.

7. Third-Party Integrations

CalendTree integrates with third-party services, including Square (payments), Google (Calendar sign-in and sync), Zoom (meeting links), and Apple (Sign in with Apple, StoreKit, MapKit, WeatherKit, Tap to Pay, push notifications, and HealthKit sleep data). Your use of any integration is also governed by that provider's own terms and privacy policy, and CalendTree is not responsible for the availability, accuracy, security, or conduct of any third-party service.

You may connect or disconnect an integration at any time in Settings → Integrations. Disconnecting revokes CalendTree's access to that service going forward, but does not retroactively delete data already synced.

8. Intellectual Property

a. CalendTree's IP

The Service — including its design, source code, features, and branding (other than Your Content) — is owned by CalendTree LLC and protected by copyright, trademark, and other intellectual property laws. These Terms grant you only a limited, revocable, non-transferable right to use the Service as described here.

b. Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant CalendTree a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, with no obligation or compensation to you.

9. Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. It describes what we collect (including location data for mileage tracking, if you enable it), why, and your rights over it. By using the Service, you consent to the data practices described there.

10. AI Assistant and Automated Features

CalendTree includes an AI assistant and other automated suggestions (e.g., work suggestions, forecasting, client-health scoring). These features are provided for convenience and may be inaccurate, incomplete, or based on incomplete data. They are not a substitute for your own business judgment, and you should not rely on them for legal, tax, financial, or medical decisions. Some AI processing may occur on-device depending on your device and OS version; where it does not, relevant data is sent to CalendTree's servers or supporting infrastructure to generate a response.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CalendTree does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and does not warrant the accuracy or completeness of any content, data, calculation, or automated suggestion within the Service, including mileage estimates, revenue forecasts, or AI-generated output.

CalendTree is a business-management tool. We are not a law firm, accounting firm, financial advisor, insurance producer, tax preparer, or healthcare provider. Nothing in the Service constitutes legal, tax, financial, insurance, or medical advice. You are solely responsible for compliance with the laws and professional obligations that apply to your business and your jurisdiction.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CALENDTREE LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOST GOODWILL, OR LOST BUSINESS OPPORTUNITIES — ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM: PAYMENTS PROCESSED BY SQUARE OR APPLE; DECISIONS MADE BY A THIRD-PARTY INSURANCE BROKER OR TAX PROFESSIONAL RECEIVING A REFERRAL YOU SUBMITTED (SECTION 15); THE ACCURACY OF ANY DOCUMENT YOU GENERATE OR SEND THROUGH THE SERVICE; OR ANY DISPUTE BETWEEN YOU AND YOUR END CLIENTS OR WORKERS.

IN NO EVENT WILL CALENDTREE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CALENDTREE FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless CalendTree LLC and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your access to or use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party right, including the rights of your End Clients or Workers; or (e) any dispute between you and a person you invited, billed, or referred through the Service.

14. Termination

a. By You

You may stop using CalendTree and delete your account at any time from Settings → Privacy & Data → Delete Account. We recommend exporting any data you want to keep before deleting your account.

b. By CalendTree

We may suspend or terminate your access at any time, with or without notice, if we believe in good faith that you've violated these Terms, if required by law, or if we discontinue the Service or a specific feature. We'll make reasonable efforts to give advance notice where practical.

c. Effect of Termination

Your right to use the Service ends immediately upon termination. Sections that by their nature should survive termination — including Sections 5, 8, 11, 12, 13, 15, 16, 18, and 19 — will survive.

Following termination, we may retain Your Content for up to 60 days, during which you may request an export; after that we may delete it, subject to our Privacy Policy and legal retention requirements.

15. "Life" Tools, Referrals, and Other Non-Core Features

CalendTree offers a set of optional tools beyond core scheduling/payments — the "Life" section, LLC formation guidance, and referral intake forms for health insurance and tax help. These are gated by dedicated in-app or in-browser consent screens you must accept before using them. Those consent screens control for their specific feature and are incorporated into these Terms by reference; if anything here conflicts with the specific disclosure you accepted for a given feature, the feature-specific disclosure controls for that feature.This section summarizes what's at stake so it isn't buried only in a click-through.

a. Not Professional Advice

Nothing in the Life tools, LLC formation guide, income/financial summary generator ("The Sheet"), or any other non-core feature constitutes legal, tax, financial, insurance, medical, fitness, or investment advice. CalendTree is not a law firm, accounting firm, registered agent service, insurance producer, or healthcare provider, and has no fiduciary relationship with you arising from these features.

b. Health-Adjacent Data

CalendTree's core features are not designed to handle Protected Health Information under HIPAA, and CalendTree does not sign Business Associate Agreements. Do not enter medical, diagnosis, or treatment information into client notes, booking fields, or any other core-feature field.

The Health Insurance referral form is a narrow exception: it collects limited demographic and eligibility information you affirmatively choose to submit in order to be connected with an independent, licensed third-party insurance broker. It does not collect medical history, diagnoses, conditions, or medications. By submitting that form, you consent to CalendTree forwarding your information to a broker for that purpose and to being contacted by that broker.

c. Referrals Are to Independent Third Parties

The Health Insurance and Tax Help features route your information to independent, licensed brokers or tax professionals who are not CalendTree employees or agents. CalendTree does not vet, supervise, guarantee, or take responsibility for the advice, services, availability, or conduct of any broker or tax professional you're referred to, and receives no guarantee any broker will offer you coverage.

d. Generated Documents

Tools like "The Sheet" generate documents based entirely on data you enter. CalendTree does not verify, audit, or certify that data. You are solely responsible for its accuracy, and knowingly submitting false information in a document you share with a third party may expose you to civil or criminal liability under applicable law.

e. LLC Formation Guidance

The LLC formation guide is educational content, not legal or tax advice. CalendTree does not guarantee that forming an LLC will provide any particular liability protection, and CalendTree is not a registered agent service.

16. End Clients

If you are interacting with a CalendTree Account Holder's booking page, invoice, quote, proposal, contract, or questionnaire without your own CalendTree account, you are an "End Client" under these Terms. As an End Client:

  • Your relationship — pricing, services rendered, cancellation policy, and any dispute — is with the Account Holder, not CalendTree. CalendTree provides the platform; it does not perform, supervise, or guarantee the Account Holder's services.
  • Payments you make are processed by Square directly to the Account Holder's own Square merchant account. CalendTree is not a party to that transaction.
  • Contracts you sign through the Service are agreements between you and the Account Holder. CalendTree facilitates e-signature collection but is not a party to, and does not enforce, the underlying contract.
  • Information you submit through a booking page, questionnaire, or intake form is shared with the Account Holder who sent it to you, and handled per our Privacy Policy. Do not submit information you are not comfortable sharing with that specific business.
  • By submitting a form, booking an appointment, or making a payment through a CalendTree-hosted page, you agree to the portions of these Terms that apply to your use of that page (including Sections 4, 9, 11, and 12).

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last Updated" date and, where appropriate, by sending an email to the address on your account. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Alabama, United States, without regard to its conflict of law principles.

Before initiating any legal action, you agree to contact us at Legal@CalendTree.com and give us 30 days to attempt to resolve the dispute informally.

Arbitration Agreement. Except for claims that qualify for small-claims court or claims for injunctive relief to protect intellectual property or confidential information, you and CalendTree agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration in Alabama, rather than in court, except that either party may bring an individual action in small-claims court. YOU AND CALENDTREE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

To the extent any dispute is not subject to arbitration, you consent to exclusive personal jurisdiction and venue in the state or federal courts located in Alabama.

19. General

  • Entire Agreement. These Terms, together with the Privacy Policy and any feature-specific disclosures referenced in Section 15, are the entire agreement between you and CalendTree regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
  • No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign your rights under these Terms without our prior written consent. CalendTree may assign its rights freely, including in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. CalendTree is not liable for delays or failures resulting from circumstances beyond our reasonable control.

20. Copyright / DMCA

CalendTree respects the intellectual property rights of others and expects users of the Service to do the same. If you believe content available through the Service infringes your copyright, send a notice to our designated agent that includes: (a) identification of the copyrighted work you claim is infringed; (b) identification of the allegedly infringing material and its location within the Service; (c) your name, address, telephone number, and email address; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.

Notices should be sent to our designated agent at Legal@CalendTree.com. Upon receiving a valid notice, we will remove or disable access to the allegedly infringing material and notify the user who posted it, who may submit a counter-notice as permitted by the Digital Millennium Copyright Act.

We will terminate the accounts of users who are determined to be repeat infringers, in appropriate circumstances and at our discretion.

21. Apple App Store Terms

If you downloaded the CalendTree app from the Apple App Store, the following additional terms apply:

  • These Terms are an agreement between you and CalendTree only, not with Apple Inc. ("Apple"). CalendTree, not Apple, is solely responsible for the app and its content.
  • Apple has no obligation to furnish any maintenance or support services with respect to the app.
  • In the event of any failure of the app to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price you paid for the app (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
